Terms of Service

Welcome to ZalvixTech. These Terms of Service (“Terms”) govern your access to our website, client portals, staging areas, and specify the legal structure under which we deliver search engine optimization, content strategy, graphic design, custom web and SaaS development, and paid marketing campaigns.

1. Acceptance & Engagement

By engaging ZalvixTech LLC to perform services, signing a statement of work (SOW), or placing a retainer deposit, you agree to comply with and be legally bound by these Terms. If you are entering into this agreement on behalf of a company, organization, or corporate entity, you warrant that you possess full authority to bind that entity.

2. Scope of Services

ZalvixTech provides digital transformation services including:

• Custom Software & SaaS Engineering: Design, backend/frontend coding, integration of databases (PostgreSQL/Postgres), and API deployments.
• E-Commerce & Shopify Storefronts: Custom liquid code alterations, optimization metrics adjustments, application hook setups.
• Growth & Performance Marketing: Search Engine Optimization (SEO), PPC campaigns management, copy-writing, graphic designs, and digital marketing optimizations.

All project deliverables are outlined in individual Statements of Work. Any additions, adjustments, or modifications requested outside the signed scope will be treated as out-of-scope work and billed at our standard hourly developer/designer rate.

3. Intellectual Property (IP) Ownership

Upon receipt of full and final payment for a specific project phase or milestone, ZalvixTech transfers all intellectual property rights, source code files, design systems, vector assets, database structures, and editorial copies created specifically for that milestone to the Client. ZalvixTech retains ownership of all pre-existing agency tools, boilerplates, libraries, or coding frameworks utilized to speed up development workflows.

4. Fees, Invoicing & Late Payments

Unless otherwise agreed in a separate Statement of Work, our standard billing terms are as follows:

• Project Deposits: Fixed-price project agreements require a 50% non-refundable deposit before scheduling design or engineering resources.
• Retainer & Monthly Subscriptions: Ongoing search marketing, SEO optimization, and social media campaigns are billed monthly in advance and must be paid by the invoice due date to prevent pause of ad campaigns or content scheduling.
• Payment Schedule: Invoices are payable within 7 calendar days of receipt. Late payments beyond 15 days may incur a service charge equal to 1.5% per month on outstanding balances.

5. Client Cooperation & Access

The timely delivery of software and marketing assets depends heavily on prompt client feedback, credentials sharing (e.g., GitHub, hosting, domain control panels), and copy sign-offs. ZalvixTech is not liable for project delays caused by a client's failure to provide access, assets, or feedback within agreed timeline windows.

6. Limitation of Liability & Performance Disclaimers

While we construct high-performance apps with optimized lighthouse scores and write copy backed by digital trends, search algorithms change frequently, and client conversion rates are dependent on variable market factors. ZalvixTech does not guarantee specific traffic counts, keyword rankings, ad-spend returns, or sales numbers. In no event shall ZalvixTech LLC be liable to the Client for any indirect, incidental, special, or consequential damages arising out of the services. Our maximum aggregate liability is capped at the total amount paid by the client under the specific Statement of Work.

7. Termination

Either party may terminate an ongoing monthly retainer or project contract by providing 30 days written notice to the other party. Upon termination, client will receive all fully-paid work completed up to the date of termination, and client will be invoiced for any hours or milestones completed but not yet billed.

8. Governing Law

These Terms and all project agreements shall be governed by, and construed in accordance with, the laws of the jurisdiction in which ZalvixTech LLC is incorporated, without regard to conflict of law principles.
